REFERRAL PROGRAM TERMS & CONDITIONS – Dated 06 September 2024

Definitions:

– Referrer: Individual who provides details of a contact at a relevant company that may benefit from Keep’s platform. 

– Referral: Individual whose details have been provided by the Referrer. 

– Referral Reward: The item provided to the referrer by Keep Software for a successful referral, subject to the subscription value of the referred company.

1. Reward

1.1 The current referral reward is a pre-paid visa card or voucher valued at $500, up to a maximum of $1,500, based on successful contract subscription value. A higher subscription value will result in a higher reward. 

1.2 The reward will be issued within 3 months of the referral company signing a subscription contract with Keep Software, provided the subscription terms are fulfilled.

1.3 The referral reward is non-transferable, non-exchangeable, and cannot be converted into cash or any other form of credit.

1.4 The referral reward or eligibility may be adjusted by Keep Software at its sole discretion at any time, without notification to the referrer. Reward changes will not apply to referrals submitted prior to the date of modification. 

1.5 Keep Software will honour the referral reward outlined at the time of referral submission. 

1.6 Successful referrers will be notified by email to arrange collection/delivery of the reward. The date of notification is known as the reward notification date. 

1.7 The referral reward becomes the responsibility of the referrer at the time of delivery, whether physical (via tracked post or hand-delivery) or digital (email). Lost, damaged or stolen referral rewards will not be replaced by Keep Software. 

1.8 It is the responsibility of the referrer to ensure that they have the ability to accept the referral reward in its current form and within their employment requirements/compliance. 

1.9 Successful referrers will receive an email detailing referral success & reward collection timing. It is the responsibility of the referrer to ensure they are available to collect the reward or provide any required details for delivery.

1.10 Rewards will be void if not claimed (i.e., delivery details not provided) within 3 months of the reward notification date.  

2. Success & Eligibility 

2.1 The referral must result in a successful contract subscription, defined as a 12-month signed contract or more for the Keep Platform, and remain active for the full duration to be eligible for the reward.

2.2 Referrers must provide accurate and complete information about the referral, including full name, email, and company name.

2.3 Referrals must be submitted through the official referral form provided by the company and meet all outlined criteria for information and contact requirements.

2.4 The referrer must be the first to submit the contact details of the referral. Duplicate submissions by others will be disregarded.

2.5 Only one referral per company will be eligible for the program. Where two or more referrers have submitted referral details of different individuals at the company, the referral which results in the platform subscription will be eligible for the referral reward. Where two or more referrals collaborate to facilitate the same subscription contract, the referral reward will be split equally between the referrers. 

2.6 A referral will be considered valid only if the referred company has not been previously contacted by Keep Software or are already in discussions for a partnership /subscription. 

2.7 The referrer must be 18 years or older to participate. 

2.8 The company reserves the right to determine what constitutes a successful referral based on the business relationship and contract terms. If affected, Keep Software will inform the referrer of the decision. 

2.9 Any form of fraudulent or unethical activity related to the referral submission will result in disqualification of the referrer.

2.10 A referrer may be excluded from the program at any time, determined by Keep Software, if they are identified to be in breach of Keep Software’s referral program terms, business terms and conditions, privacy policy and/or disclaimer. 

2.11 Referrers who submit referrals for government entities, non-profit organisations, or businesses that do not comply with Keep Software’s terms & conditions may not be eligible for the referral reward, based on subscription contract terms and value. 

2.12 The program is only applicable to the Keep Platform, defined on the Keep Website (https://keepsoftwares.com) as the “Keep – Maintenance & Asset Management Platform”. All other products provided by Keep Software are excluded. 

3. General 

3.1 Keep Software reserves the right to modify or cancel the referral program at any time without prior notice. 

3.2 Any taxes or fees associated with receiving the reward will be the responsibility of the referrer.

3.3 By participating in the program, referrers agree to abide by and accept Keep Software’s privacy policy and disclaimer.

3.4 By participating in the program, referrers confirm that the referral has consented to being contacted by Keep Software.

3.5 There are currently no limitations to the number of referrals a referrer can submit for valid and eligible companies based on Keep Software’s business criteria.

3.6 A referral will only be valid for a maximum of 12 months from date of submission, after which time the referrer will not be eligible for the referral reward for the referral. 

3.7 In the event of any disputes, the company’s decision will be final.

3.8 The company reserves the right to investigate any referral submissions for validity and compliance with the terms. The referrer will be notified by email if their referral is excluded. 

3.9 Program has formally commenced on 1st September 2024. Referrals submitted prior to this date are not eligible for rewards under this program.
